Place Owner Agreement

WHO THIS APPLIES TO: This Place Owner Agreement applies to businesses and individuals who claim and manage a venue ("Place") on Grid. It is in addition to, and incorporates, the Grid Terms of Service and Privacy Policy. If any conflict arises about owner tools, billing, or venue pages, this Agreement controls. Grid is operated by HyperLocal Social Inc ("Grid," "we," "us").

1. VENUE OWNERSHIP & AUTHORIZATION

  • By claiming a Place, you represent that you own, operate, or are authorized to manage that venue on behalf of the business it represents.
  • Claiming is available only for eligible venue listings on Grid (currently, venues imported from Google/third-party place data). Not every Place on Grid is claimable through this flow.
  • As part of a claim you provide a contact name, role, business phone, and a business email, and you may be asked to verify that email (a verification code is sent to it). An email that matches the venue's public website domain may speed up review but is not required.
  • Every claim is subject to manual review by Grid. We may request additional verification, contact the venue directly, or reject a claim we cannot verify or that appears false, duplicative, or disputed.
  • We may revoke owner privileges at any time if a claim is later found to be false, unauthorized, or disputed, or if a more clearly authorized party establishes rightful control of the venue.
  • Submitting a claim you are not authorized to make is a violation of this Agreement and the Terms of Service.

2. FEE, REVIEW, AND BILLING

  • Claiming a Place carries a fee of $199 for the first month of owner access (or an applicable promotional rate). Prices are shown at the point of claim and may change.
  • Payment does not grant ownership by itself. Paying (or submitting a claim) moves your request into review; you receive owner privileges only after Grid approves the claim and adds you as an owner of the Place. Approved claimants are notified by email.
  • The initial charge is a one-time payment for the first month processed through our payment provider (Stripe). Grid does not currently auto-renew or automatically bill you on a recurring basis. Grid may introduce recurring (e.g., monthly) billing in the future; if it does, we will provide notice and obtain any consent required by law before charging you on a recurring basis, and existing promotional rates may be grandfathered if we offer that.
  • In some cases Grid may accept a claim without collecting payment online and arrange the fee with you separately by email. In that case, owner privileges are still granted only upon approval, and the fee remains due as agreed.
  • Refunds: if a claim is rejected, or in other cases at Grid's discretion, refunds are handled manually through support@gridappsocial.com. Except as required by law, fees are otherwise non-refundable once owner access has been provided.
  • Grid may change pricing, packaging, or the scope of owner access with notice. Continued use of owner tools after a change constitutes acceptance of the new terms.

3. WHAT OWNER ACCESS INCLUDES

Owner access is a license to manage a Place using Grid's tools — it is not the purchase of the venue page or of any user data. Subject to availability and the rules in this Agreement, owner tools may include:

  • Publishing official venue posts.
  • Creating and managing events for the venue.
  • Sending notifications to eligible Grid users, through Grid's systems (see Section 6).
  • Aggregated venue analytics (see Section 8).
  • Moderating content on the venue's surfaces, within Grid policy (see Section 7).
  • Additional owner features Grid may release from time to time.

Owner tools are provided "as available." Features may be added, changed, limited, or removed, and some tools are rolled out gradually or gated. You are not guaranteed any specific feature, and you are not purchasing ownership of the venue page.

4. GRID OWNS AND MAINTAINS THE VENUE PAGE

  • Every Place on Grid exists independently of any owner or fee. Grid creates, owns, and maintains all venue pages.
  • Your claim grants management rights only for as long as you remain an approved owner. It does not transfer the page, its content history, its members, or any associated data to you or your business.
  • Users may continue to view, enter, join, and interact with the venue whether or not it has an active owner, and regardless of your subscription status.
  • A Place may have more than one owner. Any approved owner may use the owner tools for that Place. You are responsible for coordinating with any co-owners of your venue.

5. USERS AND MEMBER DATA

People who interact with your venue remain Grid users, not your customers' records. As an owner, you do not own or receive:

  • Member or visitor lists.
  • Email addresses or phone numbers.
  • Location or location history.
  • Any other personal information about users.
  • Any right to export, download, retain, or resell user data.

What you receive is the ability to communicate with eligible users through Grid and to see aggregated analytics. You may access only the information a user has chosen to make publicly visible within Grid. You may not attempt to extract, scrape, re-identify, or otherwise obtain user data beyond what Grid provides through the owner tools.

6. COMMUNICATIONS (NOTIFICATIONS & POSTS)

As an approved owner, you may:

  • Publish official venue posts.
  • Notify eligible venue members, and users currently at the venue, subject to product rules.
  • Promote events for the venue.
  • Use other owner communication tools Grid provides.

Grid controls how these messages are delivered. Grid alone determines:

  • who is eligible to receive a message and the actual recipient list;
  • users' notification preferences, privacy settings, and mute/block choices (which Grid always honors);
  • rate limits — the number of notifications a venue may send in a given period; and
  • whether a given audience (for example, unaffiliated members of the public) may be reached at all. Reaching people who are not members of your venue is not available through standard owner tools and, where offered, is a separate, paid, and independently governed capability.

You are responsible for the content of everything you send. You will not use owner communications for spam, deception, harassment, or anything prohibited by the Terms of Service. Abuse of notification tools may result in reduced limits, suspension, or termination of owner privileges (see Section 11).

7. MODERATION

Owners may moderate content on their venue's surfaces where those tools are provided, to remove material that violates Grid policies, including:

  • spam;
  • harassment;
  • hate speech;
  • explicit content;
  • impersonation; and
  • off-topic material.

Owners may not use moderation to suppress legitimate customer opinions, to mislead users, or to retaliate. Grid may review any moderation action, reinstate content, and limit or revoke moderation privileges. Grid's content policies and safety obligations always take precedence over owner moderation.

8. ANALYTICS

  • Owners receive aggregated analytics only. Analytics may include member counts, visitor trends, engagement, notification performance, and high-level demographic summaries where available.
  • Some analytics may be unavailable, approximate, or shown as blank where Grid does not have the underlying data.
  • Owners may not attempt to identify, single out, or re-identify any individual user from analytics, and may not combine analytics with other data to do so.

9. USER DATA IS NOT TRANSFERRED

  • Grid does not sell or transfer user personal data to businesses.
  • Businesses may access only information users have chosen to make publicly visible within Grid.
  • All handling of user data is governed by the Grid Privacy Policy.

10. ENDING OWNER ACCESS

Owner access may end because you stop paying (if/when recurring billing applies), because you ask us to end it, or because Grid revokes it under this Agreement. When owner access ends:

  • owner privileges end — including posting as the venue, event management, notifications, moderation tools, analytics, and any promotional tools;
  • the venue page remains on Grid; and
  • user memberships, posts, activity, and history remain part of the Grid platform.

Grid resumes management of the venue until another verified owner claims it. Ending owner access does not delete the Place or entitle you to remove it, its content, or its members.

11. SUSPENSION, TERMINATION, AND ABUSE

Grid may suspend or terminate owner privileges (in addition to any account-level action under the Terms of Service) for, among other things:

  • fraud or misrepresentation in a claim;
  • impersonation of a venue or person;
  • spam;
  • abuse of notification tools (including attempts to evade rate limits);
  • abuse of moderation tools;
  • violation of Grid policies or the Terms of Service; or
  • non-payment of any fee due.

Grid may take these actions with or without prior notice where it deems necessary to protect users or the platform. Revocation for cause does not entitle you to a refund except as required by law.

12. RELATIONSHIP TO OTHER TERMS; GENERAL

  • This Agreement supplements the Grid Terms of Service and Privacy Policy, which are incorporated by reference. Limitations of liability, disclaimers, dispute resolution, and governing-law provisions in the Terms of Service apply to owner access, and this Agreement is governed by the laws of the State of Delaware.
  • Grid may modify this Agreement as owner tools evolve. Material changes will be communicated by email or in-app where possible, and continued use of owner tools after a change constitutes acceptance.
  • Owner access is non-transferable. You may not assign this Agreement or your owner privileges without Grid's consent.
  • Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and Grid.
